NORTH PROGRAM AGREEMENT

Master Services & Student Data Privacy Agreement — Template

Parties

This Agreement ("Agreement") is entered into on   ("Effective Date") between:

  • Provider: CivicRoot Foundation (the non-profit arm of CivicRoot), a   organization ("CivicRoot"), and
  • School / District:   ("School").

1 · Program overview

CivicRoot operates NORTH, a K–12 AI engineering education program. Under this Agreement, CivicRoot will provide the School with access to the NORTH curriculum, teacher-facing tools, and optional instructor support, at no cost to the School, its students, or their families. NORTH is funded by third-party sponsors and foundations.

2 · Scope of services

  1. Access to the NORTH curriculum (Spark, Build, Launch tracks) for the term identified below.
  2. Teacher dashboard for cohort management, roster tracking, and milestone reporting.
  3. Access to the Polaris AI teaching coach for instructor use.
  4. Instructor onboarding materials and, where mutually agreed, live instructor support.
  5. Public-facing student showcase (opt-in per student and only with School authorization).

Term: from   through  , renewable annually by mutual written agreement.

3 · Student data privacy (FERPA / COPPA)

CivicRoot's technical and operational posture:

  • No student accounts. Students do not log in to CivicRoot systems. All access is teacher-mediated.
  • No student PII. CivicRoot stores only first name and single last-initial for roster display. No dates of birth, addresses, phone numbers, IDs, or contact information for any student are collected or stored.
  • Teacher-only accounts. Only School-designated instructors receive credentials. Instructor identity is limited to name and school-provided email.
  • No advertising. CivicRoot does not use, display, or share student or teacher data for advertising or marketing to students.
  • No sale of data. CivicRoot does not sell, rent, or trade student or teacher data.
  • Third-party subprocessors. Where third-party tools are used within the curriculum (e.g., GitHub, Replit, Hugging Face), students access these under the School's or their teacher's account, not through CivicRoot. CivicRoot does not act as a data controller for those integrations.
  • FERPA. To the extent CivicRoot handles any information that could constitute an education record, CivicRoot agrees to act as a "school official" with a "legitimate educational interest" as defined under FERPA (34 CFR § 99.31(a)(1)), under the direct control of the School with respect to the use and maintenance of such records, and to use such records only for authorized purposes.
  • COPPA. Because no student accounts are created and no personally identifiable information is collected from students under 13, CivicRoot does not directly obtain parental consent. The School retains authority to authorize instructional use of the curriculum consistent with applicable law and district policy.
  • Student Data Privacy Consortium (SDPC) Pledge alignment. CivicRoot's public posture aligns with the National Data Privacy Agreement and the Student Data Privacy Pledge principles; a signed SDPC-format exhibit can be added on request.

4 · Intellectual property

  • The NORTH curriculum, teacher tools, and platform are the property of CivicRoot.
  • Student-created work product (code, projects, media) remains the property of the student and/or the School as determined by School policy. CivicRoot receives a limited, non-exclusive license to display opted-in student work on the public NORTH showcase.
  • Nothing in this Agreement transfers ownership of School data or student work to CivicRoot.

5 · Fees

NORTH is provided free of charge. There are no fees payable by the School, its students, or their families under this Agreement. CivicRoot is funded by third-party corporate sponsors and foundations, and reserves the right to publicly acknowledge those sponsors on the NORTH website. Sponsor recognition will not appear in classroom materials in a manner that promotes any commercial product to students.

6 · Insurance

CivicRoot will maintain, at minimum, the following coverage during the term of any in-person engagement at a School site:

  • Commercial General Liability: $  per occurrence / $  aggregate.
  • Professional Liability (Errors & Omissions): $  per claim.
  • Cyber Liability: $  per claim.
  • Workers' Compensation as required by applicable law.

Certificates of insurance will be provided upon request. School may be named as an additional insured.

7 · Background checks

Any CivicRoot personnel who will have unsupervised access to students at a School site will pass a criminal background check consistent with School and district policy prior to such access. CivicRoot will provide documentation of completed background checks on request.

8 · Confidentiality

Each party will treat non-public information received from the other as confidential and will not disclose it except (a) to its personnel with a need to know, (b) as required by law, or (c) with the other party's written consent. This obligation survives termination.

9 · Term and termination

Either party may terminate this Agreement for any reason with thirty (30) days' written notice. Either party may terminate immediately for material breach not cured within fifteen (15) days of written notice. Upon termination, CivicRoot will disable teacher access, and, at the School's written request, return or destroy any School-provided records in its possession within thirty (30) days.

10 · Warranties and disclaimers

CivicRoot warrants that the services will be provided in a professional and workmanlike manner. Except as expressly set forth herein, the services are provided "as is" and CivicRoot disclaims all other warranties, express or implied. Nothing in this Agreement limits either party's liability for gross negligence, willful misconduct, or breach of confidentiality or student data privacy obligations.

11 · Governing law and dispute resolution

This Agreement is governed by the laws of the State of  , without regard to conflict of laws principles. The parties will attempt in good faith to resolve any dispute through direct discussion for thirty (30) days before pursuing any other remedy.

12 · Miscellaneous

  • This Agreement is the entire agreement between the parties on this subject.
  • Any amendment must be in writing and signed by both parties.
  • Neither party is the agent of the other; no employment relationship is created.
  • If any provision is unenforceable, the remainder remains in effect.
  • Notices are effective when sent to the addresses of the signatories below.
